英文补充协议变更的起草

一般来说对于合同的小修改，没有必要重新签订合同，重新签订都是费时费力，也没有必要，所以都用补充协议对原合同进行修改。如果对合同改变重大的话，比如对方想换个姊妹公司来签合同，或者合同条款有多处重大变更，可以说从根本上改变了合同的内容，都可以重新签订合同的。重新签订合同有两种方式。一种是交出所有原合同的原件，然后废除，撕毁都可以，然后再签订新合同；如果对合同原件到底有多少份不清楚的话，保险起见可以先起草一个对原合同的终止协议，然后再签新合同。当然如果为了做到天衣无缝，两个合同之间权责无缝转移的话，我自己使用过这种模式，不用撕毁原合同或者起草终止协议，先在新合同中写终止原合同，一般写新合同生效后原合同立即终止，在新合同未生效前原合同保持有效。然后在新合同上盖上三种章，第一种是原合同的对方的章，第二种是新合同的对方的章，第三种是我方的章，这样操作有个缺点是财务看见合同上有三个章，如果她们不看合同内容的话，有时候容易混淆合同内容。

言归正传，给大家分享一个我起草的比较简单的补充协议。

忘了给大家说了，之前跟一位做国际工程的朋友讨论补充协议和变更怎么翻译，我倾向于合同变更翻译为amendment, 补充协议翻译为addendum.不知道大家什麽意见？不过我自己一般都是不加区分的用amendment的。

EXPLOSIVES SALE AGREEMENT

WHEREAS: The Explosives Sale Agreement with Contract No: for the construction of XYZ Motorway Road Project has been signed on 11 March 20xx between Company(hereinafter called "the Buyer") and the MULTI BIZ FZE(hereinafter called "the Seller").

评注:先说我们什么什么时候签订了一个合同。

WHEREAS: The Buyer and the Seller have a meeting about the L/C and the Contract Agreement in the afternoon of 25 March 20xx, the Seller suggested that the volume of the goods is excessive and deliver them in one time would be hard; the Seller further suggested that the transshipment would not affect the goods quality since the goods are loaded with containers in the whole shipping period, it is very normal for cargoes to be transshipped in international shipment.

评注：再说这个合同要修改，为什么原因修改，也可以把谈判的过程加上。

IT IS HEREBY AGREED as follows:

In order to ensure the smooth execution of the said Contract Agreement, it is agreed that the goods should be allow to transshipped and partial shipped; accordingly, delete the word "not" from second line, first paragraph of Clause 14 shipment of the Contract agreement (Contract No. CCCAAA-MBIZ-01-20xx).

The Seller further agreed that the goods would all be delivered within two shipments.

评注：上面就是要修改的内容了。

For any discrepancy between this amendment and any of the Contract Agreement, both parties agreed that this amendment to the Contract Agreement shall prevail.

评注：如果这个补充协议和之前签订的合同有冲突，那么以这个补充协议为准，一般可以不写这一句，因为法律上规定一般是后面的文件有效，不过为了避免争议，也为了保险起见，我个人喜欢加上这一句。

摘要: 作为一名在校大学生，我们即将面临着人生的又一次挑战——求职、应聘，去为实现自己的理想而奋斗。就业对我们每个人来说都是非常重要的事情，我们都要做好充分的准备，这种准备不仅是为求职投入更多的经历，同时我们也要保持乐观的心态。

一、了解自我

要对自我有一个全面的认识，要认清形势，展望未来，要树立正确的择业观，学习怎样获得工作经验，怎样从基层做起，三十六行，行行出状元!要学会量体裁衣!找到一份适合自己并符合现实的工作，切忌眼高手低，好高骛远。求职成功的关键在于如何正确审视自己。

1、性格特征

我的性格比较泼开朗，真诚待人，喜欢结交很多新朋友。无论做什么事情，我都会有我自己的原则，当然是在不违反法律的情况下，我会坚守自己的诺言。另一方面，我的脾气比较倔强，一旦认定的事情不会作出轻易的更改，想要做一件事，就要把它给做好。

2、个人能力

经过多年的国家教育，以及我自己的不断努力和不断完善，我具备了较好的学习能力，能够从容不迫地接受新的要求和能够更快更好地学会一门新的本事，并加以实践，做到活学活用。

二、职业定位

1. 认清形势，深入人力资源市场，了解市场供求与工时工资制度。鉴于此，选择适合自己并自己所喜欢的职业，也可与他人交流，根据别人的经验来实现自主择业!

2. 基于现实，找准定位，一切从实际出发，争取做到主观与客观的具体的历史的相统一。

3. 在坚持自我特色基础上，须考虑众多的因素，以便更好确定自己的择业的位置和择业方向。

4. 要做到具体问题具体分析，与时俱进!

三、择业心态

俗话说得好，天生我材必有用，每个人都有攀登上成功顶峰的可能，但胜利却永远只向强者招手!成功的路上布满荆棘和坎坷，跌倒在所难免，受伤毋庸置疑，难的是你能否在饱经困难和挫折后，仍能有一颗上进的心。 脚踏实地，不要眼高手低。即使是学校最优秀的毕业生，能在短时间内转换为优秀员工的人也是很少见的。心态不正确，异想天开，甚至有严重的幼稚病，是毕业生的另一大通病。作为刚刚毕业走入社会的年轻人，应该带着学习的态度去对待工作，专业再好，经验你总缺乏吧，眼高手低，看不起试用期是不对的。其实试用期不是你吃了亏，而是公司给你发工资培训。即使是经过比较系统的培训再上岗，也是以牺牲服务质量为代价的。许多毕业生往往一味追职位提升、工资增长，没有考虑到表现，以致于必须都会为此付出一笔他们自己没有意识到的代价。更有些毕业生随时都在改变策略性目标，并在上班时这山望着那山高，导致不能全心投入工作，影响了工作绩效与上级的评价。

四、择业原则

每个人心中都有自己的尺度，计划，定位，有自己想做的事情和不想做的事情。就我而言，希望第一份工作能符合自己的专业，机械专业就业前景还是很好的，现在社会也很需要这样的人才，学这个专业的同学们大都希望能成为一名设计师，工程师…经过几年的学习和对机械知识的认识，发现自己不喜欢这方面的工作，当初选这个专业也许是为了好找工作吧，所以以后在工作中会补充一些别的东西，换个自己喜欢的工作。如果明年不能找到符合自己专业的工作，我想会考虑别的工作，希望通过在工作中积累经验，提高自己的能力，为将来做好坚实的后盾。

在选择职业时，最好能找到和自己专业对口的职业，因为这样做起来应该会比较容易，当然，选择一个自己喜欢的也可以，基于自身的条件，不一定要专业对口，可从事一切自我感觉良好的职业，汲取一定的工作经验，为以后的正式求职作好充分的准备，作好求职前的一次较好的预演或者是彩牌!

参与校内外的一些招聘会，对求职程序要有一个初步的了解，对招聘方的人才招聘对象做一个全面而深入的分析，有针对性培养自己的能力，并适时调整的自己的能力，不断学习，不断改变自己的能力，适应快节奏的新社会。可根据大一前作过的一些兼职经验，可与小组成员分享其兼职经验的成果!把间接经验与自我实践结合起来，以便更好的认识自己，测评自己、

五、择业准备

1. 写好简历(有条件的也可再写一份履历!)，这份简历必须是双语的，经小组成员一致通过，方可生效!也可请专业老师进行指导。

2. 求职礼仪。形象设计简约时尚，不搞形象工程，不搞乔装打扮，注意着装、气质、内涵、语气以及表情。可与小组间互相交流求职礼仪，有条件可进行模拟训练!

3. 求职渠道。互联网，报纸，收音机，电视广告，平面媒体等众多渠道可了解到有关招聘的信息。一定要确保信息的准确性，不要误时，给对方一个良好的形象。

4. 其它准备

(1) 须要一套求职正装。

(2) 密切注视自己的电子邮件及其他联系你的方式。

(3) 随身携带记事本，记录一些重要的人和事!以免误事!

六、总结

1. 心得交流 小组成员各写好一份求职心得，各自交流，互相获取双方经验!统一思想、统一认识、增强小组的凝聚力，团队协作力，最终形成合力，以后必将“力大无穷”。

2. 正视求职过程中的不顺心。要学会承受失败，忍受别人的白眼，在求职过程中不断学会坚强，不断学会勇敢，不断学会长大，多与父母、师长、亲人进行思想交流与沟通。
