为了增强供、需双方的责任感，提高经济效益，并明确供需双方的责任，根据《中华人民共和国合同法》等有关法律、法规的规定，供、需双方秉着平等自愿、互惠互利的原则，经双方充分协商，特订立本合同，以便共同遵守。

第一条、品名、规格、数量、金额：

备注：以上所有单价均为不含税单价，数量以工程实际供货数量为结算依据。

第二条、质量标准与施工要求：

1.产品的技术标准，按国家核定标准执行。特殊要求的'产品质量，应符合供方的特别规定或合同中另行约定。

2.如因供方产品质量不符合国家标准，由此造成的损失由供方负责。

第三条、产品包装要求：纸箱包装

第四条、验收方法及提出异议：

1.需方在收到供方货物时当场验收。

2.如有异议，需方在收货后当天内以书面形式通知供方，并妥善保管好货物，由供方派相关质检人员复核证实后作出处理。

3.如需方未按规定期限提出异议的视为所交产品符合合同约定。

4.需方因使用、保管、保养不善等造成产品污损的，不得提出异议。

第五条：合同的提货、运输方式、运输费用、交货地点、指定收货人及联系电话：

第六条、结算方式及期限：

2.由于所供材料为定制产品，产品一旦送达工地后，如无质量问题，供方不负责退换。

第七条、供、需双方违约责任：

1.若供方未能按双方确认的供货计划交货，需方有权追究供方的违约责任，每延迟交付一天，供方按延迟交货的该批货款总价的0.5%作为违约金支付给需方。

2.如需方未能按约定及时支付货款，供方有权停止供货，由此造成交货延迟并造成损失的，其责任不在供方，需方逾期付款的，每延迟支付一天，需方需按支付的该笔货款总价的0.5%作为违约金支付给供方。

第八条、解决合同纠纷的方式：有好协商解决，如协商不成，由长沙市仲裁机构仲裁。

第九条、本合同一式贰份，需双方各执壹份，具有同等法律效力，双方签字盖章后即时生效，直至货款两讫时至。
